TAPAS Policy on Non-Performing Directors and Officers
A Board member or officer missing three consecutive regular meetings of the Board of Directors, without just cause as determined by the Board of Directors, can expect a letter or phone call from the President asking for their resignation. The vacancy shall be filled as provided by the By-Laws. However, the Board shall consider each absence of an elected officer or director as separate circumstances, and may expressly waive such absence by a two-thirds vote of the members present at that meeting.
